1 Introduction and definitions
1.1 Introduction
T&D Agri GmbH operates a portal for wine bottle storage and wine bottle management "winewallet", as described in more detail in the portal. Users can store and retrieve wine bottles, transfer and accept them free of charge and/or digitize and digitally manage wine bottles by taking out a winewallet winewallet in accordance with the terms and conditions of these General Terms and Conditions of T&D Agri GmbH.
1.2 Definitions.
The following terms have the meanings set out below, unless the context requires otherwise:
1.2.1 T&D Agri is T&D Agri GmbH, a limited liability company duly incorporated and existing under Austrian law with its registered office in St. Pölten, Austria, registered in the Austrian company register under FN 561428f of the St. Pölten Regional Court, with the following UID: ATU77142147, e-mail:winewallet and telephone number: +43 (0) 5 0259 21130
1.2.2 GTC are these General Terms and Conditions, the current and applicable version of which can be viewed atwinewallet.
1.2.3 Portal is the online portal operated by T&D Agri, which can currently be accessed atwinewallet and on which T&D Agri offers the conclusion of winewallet and winewallet.
1.2.4 Users are users of the portal who are registered with a user account.
1.2.5 Customers are users of the Portal who have an active winewallet and/or an active winewallet with T&D Agri. This includes both consumers and entrepreneurs.
1.2.6 User account means the user account opened by a registered user, which is to be created by a user for the use of all functions of the portal, including the conclusion of a winewallet and/or a winewallet.
1.2.7 winewallet is the non-exclusive license agreement concluded between the User and T&D Agri for the use of the winewallet Services for a period of one year in accordance with the information provided by the User in the Portal and these GTC. A winewallet can also be concluded without taking out a winewallet.
1.2.8 winewallet services are the software services for the digital management of the digital wine cellar provided by T&D Agri within the scope of the winewallet for a period of one year to the user for a fee and on a non-exclusive basis (in accordance with section 4.4 of these GTC).
1.2.9 License fee is the fee pursuant to Section 4.3 that the Customer must pay to T&D Agri for the provision of the winewallet services.
1.2.10 The digital wine cellar is the stock of wine bottles displayed in the customer's user account upon conclusion of a winewallet. This stock can contain both wine bottles stored at the storage location (provided a corresponding winewallet has also been taken out) and wine bottles not stored at the storage location but digitized by the customer in accordance with point 4.4.1.
1.2.11 winewallet is the contract concluded for an indefinite period between the user and T&D Agri in accordance with the information provided by the user in the portal and these GTC for the reservation of capacities at the storage location of T&D Agri for the purpose of taking over the wine bottles from the customer for the proper and professional storage of the wine bottles at the storage location and the provision of the main and ancillary services in connection with this in accordance with Section 1.2.13 and Section 1.2.13.
1.2.14 by T&D Agri. When a winewallet is taken out, a winewallet is also taken out at the same time. It is not possible to take out a winewallet without taking out a winewallet at the same time.
1.2.12 T&D Agri partners are certain winegrowers and webshops that arrange winewallet with T&D Agri in their salesrooms or as part of the purchase via the webshop and/or enable the delivery of purchased wines for storage by T&D Agri after their purchase by the customer.
1.2.13 The main service of winewallet is the contractual service provided by T&D Agri as part of the winewallet regarding the acceptance of wine bottles owned by the Customer for proper and professional storage at T&D Agri's storage location in accordance with the information provided by the Customer in the portal and the provisions of these GTC. Proper and professional storage expressly does not include checking and improving the quality of the stored wines. Even in the course of proper and professional storage, the quality of stored wines may therefore not develop and mature as the customer may have hoped. It is also possible that the quality of the wine is already deficient at the time of storage and that the quality of the wine (further) deteriorates over the course of storage.
1.2.14 Ancillary services winewallet are certain services, some of which are optional, provided by T&D Agri as part of the winewallet in accordance with the information provided by the Customer in the portal and these GTC, which are not a main service. Ancillary services within the scope of the winewallet are those in connection with the storage and retrieval of wines (Section 5.6 and Section 5.8 of these GTC) and the (free of charge) transfer/acceptance of rights of disposal to stored wines by the Customer (Section 5.7 of these GTC). "Optional ancillary services" are subject to a charge and are in addition to the storage fee in accordance with point
5.3.2 to be paid by the customer. "Integrated ancillary services" are automatically included in the storage package and are already covered by the storage fee.
1.2.15 The authorized user is the user who has lawful access to the user account and thus to the wine bottles electronically stored in the user account. With regard to T&D Agri, only the person who is authorized to dispose of a wine bottle can be regarded as the authorized user of the relevant user account in which the wine bottle is recorded.
1.2.16 Storage unit is the unit of measurement that determines the storage capacity within the scope of the winewallet and the reference value for determining the storage fee. The storage unit is determined from the capacity of a wine bottle. The conversion table is shown in point 5.3.1 of these GTC. In principle, the larger the capacity, the higher the storage unit.
1.2.17 The storage package is the package selected by the Customer in the portal as part of the winewallet, which is determined by the capacity of the units that can be stored by T&D Agri. In addition to the proper and professional storage of wines, the storage package also includes ancillary services, unless these are explicitly subject to a charge as optional ancillary services. By selecting the storage package when concluding the winewallet, the Customer determines the capacities that T&D Agri reserves for the storage of storage units for the Customer and that are available to the Customer in any case.
1.2.18 Package change is the adjustment (increase/decrease in storage capacity and storage fee) of the storage package selected by the customer as part of the winewallet(pursuant to clause 5.3.2 of these GTC) in accordance with the units actually stored. The change of package is due to the fact that the number of units may increase and decrease as a result of the possibility of the ongoing storage and retrieval of wine bottles (clause 5.6 and clause 5.8 of these GTC) and the transfer and acceptance of rights of disposal of stored wine bottles (clause 5.7 of these GTC) by the customer. The parcel change shall take place automatically on the basis of the customer's respective disposition. This is with the exception of exceeding the previous storage capacity by more than 50%. However, the storage package selected when concluding the winewallet shall form the lower limit of the capacities reserved by the customer.
1.2.19 Storage fee is the fee shown in the portal that the Customer must pay to T&D Agri for the respective active storage package (including the integrated ancillary services) in accordance with Section 5.3.2.
1.2.20 The storage location is the place where T&D Agri has the Customer's wine bottles stored. For the purposes of storage and retrieval, the wine bottles may also be temporarily stored at a location other than the storage location. The storage location is not the registered office of T&D Agri.
1.2.21 The storage contractor is the contractor who operates the respective storage location and stores the wine bottles on behalf of T&D Agri.
1.2.22 Disposal or disposal of the stored wine bottles means either (i) storage in accordance with point 5.6, (ii) transfer or acceptance of the right to dispose of stored wine bottles in accordance with point 5.7 or (iii) removal from storage in accordance with point 5.8.
1.2.23 Storage means the transfer of wine bottles to and acceptance of wine bottles for storage at the storage location by T&D Agri at the Customer's request in accordance with Section 5.6.
1.2.24 Removal from storage means the transfer of wine bottles to and acceptance of wine bottles by the customer after release from the storage location by the customer in accordance with point 5.8.
1.2.25 Delivery order is the request to be issued to T&D Agri via the portal by a person authorized to dispose of a stored wine bottle to remove wine bottles from storage by personal delivery to the Customer in accordance with Section 5.8.3 or by postal dispatch to a delivery address specified by the Customer in accordance with Section 5.8.2.
1.2.26 Within the framework of a winewallet, transfer of the right of disposal enables the (free) transfer of the right of disposal of a stored wine bottle in accordance with point 5.7.1 by the previous authorized user to the user account of another customer, who must also have already concluded a winewallet(the conclusion of only one winewallet does not enable the acceptance of a right of disposal by the respective customer), who is henceforth deemed to be the authorized user of the wine bottle upon acceptance of the right of disposal in accordance with point 5.7.2.
1.2.27 Acceptance of the right of disposal enables the acceptance of the (free of charge) transfer of the right of disposal of a stored wine bottle in accordance with point 5.7.2 by the person previously authorized to dispose of the bottle, whereby the wine bottle is henceforth assigned to the user account of the accepting customer within the framework of a winewallet.
2 Scope of application and validity of the GTC
2.1 Comprehensive application on the portal.
These GTC apply to the entire use of the Portal, i.e. for Users, including the conclusion of winewallet and winewallet as well as to all declarations, offers, transactions, contractual relationships and all business transactions between T&D Agri and the Users as well as between the customers and the Users of the Portal among themselves.
2.2 No deviating terms and conditions. Terms and conditions of business of Users or third parties that deviate from these GTC or other agreements between T&D Agri and Users or third parties shall not take effect unless they are confirmed in writing by T&D Agri.
2.3 Consent of the user. By using the portal and/or registering a user account, the user accepts these GTC and all terms, conditions and regulations contained therein or incorporated by reference and expressly agrees to them. The user expressly confirms this when registering.
2.4 Changes and adjustments to the GTC. T&D Agri reserves the right to update or amend these GTC at any time and at its own discretion in order to adapt them to its future business practices; for technical reasons and to make appropriate technical adjustments to the Portal and the winewallet services; in the context of technical progress and to adapt to the technical and economic environment; to supplement or improve existing functions and offers of the Portal and the services provided on it, the winewallet and the winewallet services; to ensure the ongoing functionality of the Portal and its services and the winewallet services; for legal and regulatory reasons; and for security reasons and in the event of changes to the contracts between T&D Agri and its service providers, in particular the contracts with the storage contractor(s). the storage contractor(s). The currently valid version of the GTC can be accessed at the portal address stated in point 1.2.3 above. In the event of an intended amendment to agreed GTC, T&D Agri shall notify Users by email or via the user account on the Portal and grant a reasonable period of at least fourteen calendar days to object to an amendment to the GTC. By continuing to use the portal, the winewallet and/or the winewallet without objection after the expiry of this period, the user declares his agreement to the updated and then applicable version of the GTC. The customer shall be informed of the consequences of failing to object in the written information on the amendment of the GTC. In the event of an objection, T&D Agri reserves the right to exclude the User from future use of the portal or certain functions and services and/or, if the change is not merely minor and objectively justified, to terminate the winwallet subscription and/or the winewallet extraordinarily.
3 The portal
3.1 Description of the portal. T&D Agri operates the portal as a presentation, marketing and administration platform for winewallet and winewallet.
3.2 Registration. The conclusion of a winewallet and/or a winewallet as well as the use of further functions and services of the portal are only possible after the creation of a user account in accordance with the registration and login procedure provided and described on the portal.
3.3 Authorized users and rejection. The use of the portal and the registration of a user account are only permitted to users who are authorized to do so under the law of their country of residence. No one is entitled to create a user account; T&D Agri is entitled to reject user registrations without giving reasons. The user declares that he/she has reached the required age and fulfills the other requirements. The User shall be liable for all damage and disadvantages incurred by T&D Agri as a result of an incorrect declaration. T&D Agri reserves the right to verify the User's age and to request appropriate proof from the User.
3.4 Registration process. To register a user account, the User must provide the data requested in the registration process, including a valid e-mail address, completely and truthfully and choose a unique user name and password. To identify the User, T&D Agri shall send an email to the User after the registration data has been provided, which the User must confirm in order to complete the registration process (double opt-in); T&D Agri reserves the right to request further proof of identification (in particular copies of identity documents).
3.5 Changes to User data. In the event of subsequent changes to user data, these changes must be communicated in the portal and updated in the user account without delay. T&D Agri shall always communicate with the User via the e-mail address or postal address provided. The User must ensure that this data is always correct and that the e-mail inbox is checked regularly, at least several times a week.
3.6 No use by or transfer to third parties. Access to and use of the user account is only permitted to the respective user personally. The access data for the user account must be kept secret at all times, must not be passed on to third parties and must be protected from access by third parties and stored securely. The user account may not be sold, rented or otherwise passed on to third parties. The User shall be personally responsible for all damages and disadvantages caused by third party access to the user account due to a breach of these obligations and shall be liable to T&D Agri for damages caused by T&D Agri's fault. If the User discovers unauthorized or suspicious activities, the User must inform T&D Agri immediately.
3.7 No liability on the part of T&D Agri. T&D Agri shall not be liable for damage caused by unauthorized use of the portal or for damage caused by the loss or deliberate disclosure of user account access data in breach of duty.
3.8 No guarantee for the continued operation of the Portal for Users. T&D Agri gives no assurances with regard to uninterrupted and continuous operation and functioning of the Portal for pure users of the Portal. T&D Agri shall be entitled to carry out maintenance or upgrade work on the Portal at any time, even without prior notice, which may result in the Portal being shut down/interrupted. T&D Agri is not obliged to provide a specific server capacity or bandwidth; overloads and longer response times may occur. T&D Agri reserves the right to temporarily or permanently discontinue the Portal or other services offered on the Portal at any time, with the exception of the main and integrated ancillary services as part of the winewallet and the winewallet services.
4 The winewallet
4.1 Conclusion of contract and key details
4.1.1 Conclusion of contract. Upon conclusion of the winewallet in accordance with Section 1.2.7, T&D Agri shall grant the Customer a non-exclusive right to use the winewallet and the Customer shall commission the provision of the winewallet services in return for payment of the agreed license fee in accordance with the provisions of these GTC.
4.1.2 No exclusivity. The provision of the winewallet services by T&D Agri to the Customer is not exclusive. Nothing in these GTC shall prevent T&D Agri from also providing its winewallet services to other persons.
4.1.3 Intellectual property. Ownership and all intellectual property rights relating to the winewallet and the winewallet services, the portal and all basic systems shall belong solely to T&D Agri (and its licensors). The Customer may not challenge or contest the ownership or validity of these intellectual property rights.
4.1.4 Availability. Subject to clause 4.1.5, T&D Agri shall use reasonable efforts to ensure that the winewallet services are available 24/7. T&D Agri shall endeavor to ensure 99.9% availability during T&D Agri's business hours, i.e. on working days Monday to Thursday 09:00 - 16:00 and Friday 09:00 - 12:00, calculated over an observation period of one calendar year. However, it is possible that the winewallet services may occasionally be unavailable, for example due to maintenance services or other development activities, or in the event of force majeure. For the avoidance of doubt, downtime caused directly or indirectly by any of the above events or by errors or failures of the Customer's computer systems or networks shall not be deemed a breach of this Agreement. The Provider will use reasonable endeavors to publish details of any downtime on the Portal in advance. (b) Due to the use of third party cloud infrastructure, web services and APIs, the winewallet works in conjunction with a number of third party services. T&D Agri does not guarantee or warrant the availability of these functions. In order to maintain the provision of the winewallet Services, T&D Agri will not change the third party providers used, unless this is (i) absolutely necessary to ensure the continued provision of the winewallet Services, or (ii) if this is also in the interest of the Customer, or (iii) such a change does not materially affect the Customer and its use of the winewallet Services. However, without limiting the previous sentence, T&D Agri may also cease to provide such service, product, API or feature as part of the winewallet Services to Customer if a third party provider ceases to provide or maintain its service, product, API or feature or ceases to make it available on reasonable terms. For the avoidance of doubt, the Customer shall not be entitled to a refund, discount or other compensation or to extraordinary termination if T&D Agri exercises its right to discontinue the availability of third party services, products or functions.
4.1.5 Service level. If an error occurs when using the winewallet services, the Customer must report this to T&D Agri immediately. After receiving notification of an error from the Customer, T&D Agri shall inform the Customer within a reasonable response time (during T&D Agri's business hours, i.e. on working days Monday to Thursday 09:00 - 16:00 and Friday 09:00 - 12:00, within 24 hours in urgent cases and within 120 hours in non-urgent cases) that work is underway to rectify or repair the error. Together with the notification of the Fault, the Customer shall provide T&D Agri with all available information relating to the Fault that T&D Agri reasonably requires or requests in order to diagnose, assess and rectify the Fault. T&D Agri will endeavor to rectify or repair an Error within a reasonable resolution time (during T&D Agri's business hours, i.e. on working days Monday to Thursday 09:00 - 16:00 and Friday 09:00 - 12:00, within one week in urgent cases and within one month in non-urgent cases), depending on the classification of the Error. Depending on the cause, severity and complexity of an error, the resolution time may be exceeded and shall not entitle the Customer to any claims against T&D Agri. Delays in the response or resolution time due to the Customer's failure or delay in providing the information or taking the action required to assess or resolve an error shall not be taken into account when calculating the resolution time.
4.1.6 Maintenance services. T&D Agri shall make the maintenance services available to the Customer for the duration of the winewallet. T&D Agri shall inform the Customer, as far as practicable, at least five working days in advance of planned maintenance services that may affect the availability or quality of the winewallet services. The Customer shall be obliged to allow such maintenance services at the specified time and shall take appropriate precautions against update/upgrade errors and failure. T&D Agri may suspend the provision of Maintenance Services if any amount payable by the Customer to T&D Agri under the winewallet is overdue, despite a reminder from T&D Agri setting a grace period of 30 days and notice of suspension of Maintenance Services.
4.1.7 Obligations of the customer. The customer is responsible - on its behalf and at its expense - for providing any infrastructure, systems, software applications and/or interfaces required to connect to and use the winewallet services in accordance with their specifications. This includes, but is not limited to, establishing and maintaining accounts (including with third party providers) that interact with the winewallet Services. T&D Agri is in no way responsible for the infrastructure, systems, software applications, interfaces and/or third-party providers to be provided by the Customer, nor for any failures, errors or malfunctions relating thereto, the rectification of which is not part of T&D Agri's response or resolution times or other service or maintenance obligations.
4.1.8 Limited warranty vis-à-vis entrepreneurs. T&D Agri's warranty to Customers who are entrepreneurs is limited to the warranties expressly set out in these GTC. All other warranties, promises, guarantees or assurances are expressly excluded. In particular, the Customer acknowledges that complex software is never completely free of defects, errors and bugs. Subject to the other provisions of these GTC, T&D Agri makes no warranty or representation that the winewallet Services are completely free from defects, errors and bugs. The Customer further acknowledges that complex software is never completely free from security vulnerabilities. Subject to the other provisions of this Agreement, T&D Agri makes no warranty, guarantee or representation that the winewallet Services are completely secure. Further, T&D Agri makes no representation that the winewallet Services: (i) will meet the Customer's requirements; or (ii) will be completely secure, free of viruses or other harmful code, and uninterrupted or error-free. Claims against T&D Agri under warranty or similar remedies shall in any event be limited, at T&D Agri's option, to: security updates for known security vulnerabilities.
4.2 Term and termination of the winewallet
4.2.1 Duration. The winewallet is concluded for a period of one month and ends with the declaration of termination or removal of the last bottle of wine. If no notice of termination is given, the winewallet shall be extended by a further month in each case.
4.2.2 Term. The contractual term of the winewallet shall commence on the date of conclusion of the contract via the portal, i.e. upon provision of the winewallet.
4.2.3 Trial month. For customers taking out a winewallet for the first time, the first month of the contract term is agreed as a (free) trial month. Within this trial month, the winewallet can be terminated at any time with immediate effect. However, this trial month is only available to each customer once.
4.2.4 Termination. The winewallet can be terminated by e-mail or via the customer account subject to a notice period of 4 weeks to the end of the respective contractual year. Point 4.2.3 shall apply to terminations during any trial month. If the winewallet was concluded as part of a winewallet, a declaration of termination for the winewallet shall in case of doubt also be deemed to be a declaration of termination for the winewallet, unless the customer expressly states otherwise in his declaration of termination. With regard to the consequences, see point 5.2.7.
4.3 License fee
4.3.1 License fee. The annual license fee for the winewallet services is EUR 9.94.
4.3.2 Period and accrual of the storage fee. The annual license fee pursuant to Section 4.3.1 shall commence on the date of conclusion of the contract for the winewallet or at the end of any trial month pursuant to Section 4.2.3. The annual license fee pursuant to Section 4.3.1 shall be invoiced to the customer in advance for the current contractual year.
4.3.3 Payment. The license fee pursuant to Section 4.3.1 shall be invoiced annually in advance by the 5th day of the new contract year and is due upon receipt of the invoice. The license fee must be paid using the agreed payment method or the payment method selected by the customer in the user account.
4.3.4 Stability of value. Stability of value is agreed for the license fee in accordance with point 4.3.1. The figure of the index on the date of conclusion of the contract shall serve as the starting point for the value maintenance. The figure resulting from a change in the index shall form the new starting point for calculating further valorizations. The index figure calculated for November of the current calendar year serves as the reference figure. On January 1 of each calendar year, the license fee is adjusted in accordance with the changes in the index figure resulting from the comparison of the reference figure with the starting basis and is valid for the following 12 months. An adjustment of the fee due to a change in the index can be made at the earliest two calendar months after the date of conclusion of the contract. The consumer price index 2020, as published by STATISTIK AUSTRIA Bundesanstalt Statistik Österreich, is agreed as the relevant index. If the consumer price index is no longer published, it shall be replaced by the index that officially replaces it. A reduction in remuneration of up to 50% of the originally agreed remuneration is possible (lower limit), whereby the increase in remuneration is also capped at a maximum of 50% of the originally agreed remuneration (upper limit).
4.3.5 Value added tax. The license fee pursuant to Section 4.3.1 includes Austrian VAT at the current statutory rate of 20%. Should the amount of Austrian VAT change, the license fee pursuant to Section 4.3.1 shall be adjusted accordingly.
4.3.6 Other (import) duties. Other fees, taxes, levies, duties, charges or other costs incurred on delivery to the recipient on the basis of the statutory provisions of the country of destination must be borne in full by the User or recipient in accordance with these provisions. T&D Agri can neither calculate nor pay these in advance due to lack of knowledge.
4.4 Functions of the winewallet
4.4.1 The winewallet offers the option of digitizing wine bottles so that they are displayed in the customer's digital wine cellar. If the customer has also taken out a winewallet, the stored wines shall be displayed together with the customer's non-stored, digitized wines in the digital wine cellar, with the difference that the wine bottles digitized by the customer but not stored at T&D Agri's storage location cannot be disposed of in accordance with points 5.7 and 5.8. The "Label scan" or "Product entry" function is available for recording wine bottles stored privately by the customer outside the storage location in the digital wine cellar in accordance with point 4.4.1.
5 The winewallet
5.1 Conclusion of contract
5.1.1 Conclusion of contract. Upon conclusion of the winewallet in accordance with Section 1.2.11, T&D Agri shall reserve the capacities at the storage location in accordance with the information provided by the Customer in the portal for the purpose of taking over the wine bottles from the Customer for the purpose of proper and professional storage at the storage location and the Customer shall commission T&D Agri with the provision of the main and ancillary services in connection therewith in return for payment of the storage fee in accordance with the provisions of these GTC.
5.2 Term and termination of the winewallet
5.2.1 Duration. The winewallet is concluded for an indefinite period and ends upon termination.
5.2.2 Term. The contractual term of the winewallet shall commence on the date of conclusion of the contract via the portal, i.e. when the capacities are reserved for the Customer at T&D Agri's storage location.
5.2.3 Trial month. For customers taking out a winewallet for the first time, the first month of the contract term is agreed as a (free) trial month. Within this trial month, the winewallet can be terminated at any time with immediate effect. However, this trial month is only available to each customer once.
5.2.4 Cancellation. The winewallet can be terminated at any time by e-mail or via the customer account subject to a notice period of 4 weeks. Point 5.2.3 applies to terminations during a possible trial month.
5.2.5 Removal obligation of the customer. The customer is obliged to arrange for the removal of the wine bottles stored by him by the end of the notice period or, in the event of termination within the trial month, by the end of the 14th day after the notice of termination ("clearance period").
5.2.6 Extension of the contract due to failure to remove wine from storage in good time. If, despite termination, the wines have not been removed or not completely removed by the end of the clearance period, the winewallet shall not end until all wine bottles have actually been removed. The customer shall be expressly informed of the effect of the failure to remove wine bottles in good time before the expiry of the clearance period.
5.2.7 Consequences with regard to the winewallet. In case of doubt, the declaration of termination for the winewallet shall also apply as a declaration of termination for the winewallet concluded at the same time, unless the customer expressly states otherwise in his declaration of termination. As the winewallet is concluded for a period of one year, the winewallet may end earlier than the winewallet. However, the winewallet winewallet can never be terminated earlier than the winewallet winewallet, as a winewallet license is mandatory for a winewallet. Notwithstanding the customer's obligation to remove wine from storage in accordance with point 5.2.5, if the winewallet is terminated before the winewallet is terminated, the wine bottles previously stored at T&D Agri's storage location will continue to be displayed in the customer's digital wine cellar, with the difference that they will be assigned to the customer's non-stored, digitized wine stock from the time of removal from storage. From the time of termination of the winewallet and removal of all wine bottles until the time of termination of the winewallet, the customer can use all winewallet services as if he had only taken out a winewallet.
5.3 Storage units, storage packages, storage fee
5.3.1 Storage units. As the different capacities of wine bottles are associated with different levels of expenditure (storage capacity, personnel costs, insurance, etc.), the storage fee is not calculated according to the number of wine bottles, but according to storage units, which are determined as follows:

Example: By storing three 1.5 liter wine bottles (6 storage units), eight 1 liter wine bottles (8 storage units) and one 6 liter wine bottle (8 storage units), a total of 22 storage units are occupied.
5.3.2 Storage fee for storage packages. The monthly storage fee for the selected storage package is determined on the basis of a price table shown in the portal and in the user account. The monthly costs incl. 20% VAT are staggered according to the following reserved capacities:

5.3.3 Period and accrual of the storage fee.
The storage fee corresponding to the storage package selected by the customer shall commence on the date of conclusion of the contract for the winewallet, i.e. upon reservation of the storage capacities for the customer or upon expiry of any trial month in accordance with Section 5.2.3. In the user account, the customer can see at any time how many storage units in the current storage package are already occupied and how many storage units are still available until there is a package change in accordance with point 5.3.4. The amount of the storage fee is determined in accordance with points 5.3.1 and 5.3.2 and is indicated in the portal and in the user account. The monthly storage fee for the winewallet in accordance with the storage capacities in the table under point 5.3.2 shall be calculated in advance for the current calendar month and invoiced to the customer accordingly. For calendar months not fully used, for example at the beginning and end of the contract period (with the exception of the trial month in accordance with point 5.2.3), the storage fee shall be charged on a pro rata basis.
5.3.4 Adjustment of the storage fee to the storage package. For initial storage, the storage fee shall be determined according to the storage package selected by the Customer when concluding the winewallet and the storage capacities reserved by T&D Agri for the Customer from this point in time. As the number of stored wine bottles may increase and decrease as a result of ongoing storage and retrieval, the current storage level and the storage units shall be determined at the beginning of each month, starting on the first working day of the month in question, and the corresponding storage fee shall be calculated in accordance with points 5.3.1 and 5.3.2 on the basis of the number of storage units stored. As the customer has selected the minimum capacity of his winewallet and thus the storage capacities reserved for him at least when concluding the contract, it is not possible to fall into a storage package below the storage package selected when concluding the winewallet.
5.3.5 [Deposit. In special cases, T&D Agri GmbH reserves the right to charge the customer a deposit of three storage fees for the storage package selected upon conclusion of the contract as security for all claims arising from the winewallet, including damages. Deposits or parts of deposits used up as a result of utilization must be replenished by the customer without delay. The deposit shall be refunded to the customer without interest within 4 weeks of termination of the winewallet, settlement of all secured outstanding claims and removal of the last bottle of wine].
5.3.6 Value added tax. The storage fee pursuant to Section 5.3.2 includes Austrian VAT at the current statutory rate of 20%. Should the amount of Austrian VAT change, the storage fee pursuant to Section 5.3.2 shall be adjusted accordingly.
5.3.7 Other (import) duties. Other fees, taxes, levies, duties, charges or other costs incurred on delivery to the recipient on the basis of the statutory provisions of the country of destination must be borne in full by the User or recipient in accordance with these provisions. T&D Agri can neither calculate nor pay these in advance due to lack of knowledge.
5.4 Storage location and right of access
5.4.1 Ownership of the authorized user. The stored wine bottles shall always remain the property of the authorized user as recorded in the portal or user account.
5.4.2 Storage location. At the customer's request, the storage location of his wines will be disclosed to him.
5.4.3 Right of access. The customer has no right of access to the wine warehouse. In exceptional cases (for security and data protection reasons) it is nevertheless possible and the customer may enter the warehouse together with an employee of T&D Agri GmbH by prior appointment and during operating hours.
5.4.4 Exercise of the right of access. However, personal access to the storage location by the Customer is only possible when accompanied by T&D Agri employees or employees of the Storage Company. The desired access to the storage location must be notified to T&D Agri at least three working days before the desired time of access.
5.4.5 (No) access by third parties. Third parties (including users of the portal who have not stored any wines) may not be granted access to the storage area. Should this be desired, a proper written proof of representation (power of attorney) of the customer must be submitted in advance (as a copy or digital scan) by the customer granting the power of attorney and presented by the authorized person (in the original).
5.4.6 No removal from storage. No removal from storage can be carried out within the scope of access. If the customer wishes the goods to be removed from storage, point 5.8 (in particular point 5.8.3 Removal from storage by self-collection) must be complied with.
5.5 Disposal of wine bottles and T&D Agri's right of retention
5.5.1 Types of disposal. The person authorized to dispose of a wine bottle has the right to dispose of the wine bottles within the scope of his winewallet as follows:
- Storage via the provided "Storage" function of the portal (see point 5.6);
- transfer of the right of disposal of a stored wine bottle via the provided "Transfer" function of the portal (see point 5.7.1);
- Acceptance of the right of disposal of a stored wine bottle via the provided "Accept" function of the portal (see point 5.7.2);
- Removal from storage via the provided "Removal" function of the portal (see point 5.8).
5.5.2 Right of retention. In the event of non-payment of the storage fees, the customer may not dispose of wine bottles in accordance with point 5.5.1. As a result, the customer may not store any further wine bottles in accordance with point 5.5.1 TS 1, may not remove any wine bottles from storage in accordance with point 5.5.1 TS 4 and may not transfer or accept any wine bottles in accordance with point 5.5.1 TS 2 and TS 3 until the outstanding storage fees under the customer's winewallet have been paid in full. If the customer wishes to dispose of the wine bottles via the portal in accordance with point 5.5.1 despite outstanding storage fees due, the portal shall show the outstanding amounts. In order to activate the respective disposal function, the user must pay the amounts due for the outstanding storage fees to T&D Agri as indicated in the portal. T&D Agri will only activate the disposal function once the corresponding amounts have been paid in full.
5.6 Disposal of wine bottles: "Storage"
5.6.1 Ongoing storage of wine bottles. Additional wine bottles, even if they exceed the specified maximum capacity of the selected or active storage package in accordance with point 5.3.2 by up to 50%, can be taken over at the expense and risk of the customer by personal delivery to a delivery address or by postal dispatch to a delivery address for later storage at the storage location, provided that at least one working day's notice is given. The storage of wine bottles as a result of the use of the T&D Agri collection service by the Customer shall be governed by the respective individual agreement between the Customer and T&D Agri.
5.6.2 Einlagerung durch persönliche Ablieferung. Über entsprechende Auswahl der im Portal integrierten Einlagerungs-Funktion werden dem Verfügungsberechtigten im Portal Termine zur Einlagerung durch persönliche Ablieferung an der Abgabeadresse (frühestens am nächsten Werktag) während der Geschäftszeiten von T&D Agri, sohin an Werktagen montags bis donnerstags 09:00 – 16:00 Uhr und freitags 09:00 – 12:00 Uhr, angezeigt. Der Verfügungsberechtigte kann einen entsprechenden Ablieferungstermin sowie eine Abgabeadresse wählen und erhält daraufhin eine Bestätigung samt Übergabeschein, der bei persönlicher Ablieferung vorzuweisen ist. Von Dritten können Weinflaschen nur übernommen werden, wenn ein ordnungsgemäßer schriftlicher Vertretungsnachweis (Vollmacht) des Kunden durch den Kunden, der die Vollmacht erteilt, vorab (als Kopie oder digitaler Scan) übermittelt und vom Bevollmächtigten (im Original) vorgezeigt wird. Im Rahmen der persönlichen Übernahme werden die zu übergebenden Weinflaschen mit dem Übergabeschein abgeglichen und die Übernahme auf dem Annahme-Protokoll bestätigt. Im Rahmen der Einlagerung durch persönliche Ablieferung können die einzulagernden Weinflaschen vorübergehend an einem vom Lagerort verschiedenen Ort zwischengelagert werden, bevor sie an den Lagerort verbracht werden.
5.6.3 Einlagerung durch postalischen Versand. Der Kunde hat die Möglichkeit, den postalischen Versand von bei T&D Agri Partnern erworbenen Weinflaschen, unmittelbar an eine Zustelladresse zu veranlassen. Diese Möglichkeit kann der Kunde bei Webshops durch entsprechende Plugins und bei Winzern durch entsprechende Veranlassung ausüben. Der T&D Agri Partner veranlasst dann den postalischen Versand der Weine an die gewählte Zustelladresse und eine entsprechende Vorankündigung an T&D Agri. Beim Ankauf der Weine bei anderen Winzern und Webshops, die nicht T&D Agri Partner sind, hat der Kunde die Möglichkeit, die Einlagerung durch postalischen Versand durch Angabe einer, von der Rechnungsadresse abweichenden, Lieferadresse zu veranlassen. In diesem Fall hat der Kunde durch entsprechende Auswahl der im Portal integrierten Einlagerungs-Funktion die Einlagerung voranzukündigen. Zudem hat der Kunde durch entsprechende Auswahl der im Portal integrierten Einlagerungs-Funktion, die Möglichkeit, Weine aus seinem eigenen Bestand postalisch an eine Zustelladresse zu versenden. In diesem Fall wird eine entsprechende Auflistung der einzulagernden Weine generiert, die der Kunde dem Paket beilegen kann. Weinflaschen können jedoch ausschließlich während der Geschäftszeiten von T&D Agri, sohin an Werktagen montags bis donnerstags 09:00 – 17:00 Uhr und freitags 09:00 – 12:00 Uhr, entgegengenommen werden. Im Rahmen der Einlagerung durch postalischen Versand können die einzulagernden Weinflaschen vorübergehend an einem vom Lagerort verschiedenen Ort zwischengelagert werden, bevor sie an den Lagerort verbracht werden. Zudem kann auch zu einer Zwischenlagerung beim Versanddienstleister im Rahmen des Transports und/oder fehlgeschlagener Zustellversuche kommen.
5.6.4 Einlagerung durch Abholservice. T&D Agri bietet auf gesonderte Anfrage einen Abholservice an. Im Rahmen dieses Abholservice werden die Weine durch T&D Agri an einem gesondert vereinbarten Ort abgeholt und übernommen sowie (nach allfälliger Zwischenlagerung an einem anderen Ort) an den Lagerort verbracht. Auch in diesem Fall hat der Kunde durch entsprechende Auswahl der im Portal integrierten Einlagerungs-Funktion die Einlagerung voranzukündigen und erhält daraufhin eine Bestätigung samt Übergabeschein, der bei der Abholung vorzuweisen ist. Von Dritten können Weinflaschen nur übernommen werden, wenn ein ordnungsgemäßer schriftlicher Vertretungsnachweis (Vollmacht) des Kunden durch den Kunden, der die Vollmacht erteilt, vorab (als Kopie oder digitaler Scan) übermittelt und vom Bevollmächtigten (im Original) vorgezeigt wird. Im Rahmen der Abholung werden die zu übergebenden Weinflaschen mit dem Übergabeschein abgeglichen und die Übernahme auf dem Annahme-Protokoll bestätigt. Im Rahmen der Einlagerung durch den Abholservice können die einzulagernden Weinflaschen vorübergehend an einem vom Lagerort verschiedenen Ort zwischengelagert werden, bevor sie an den Lagerort verbracht werden.
5.6.5 Abgabe- und/oder Zustellungsadressen für Weine:

5.6.6 Kapazitätsgrenzen. Sollte durch die zusätzliche Einlagerung die Lagerkapazität des gewählten bzw. aktiven Lagerpakets um mehr als 50% überschritten werden, ist für eine solche Einlagerung vorab die Zustimmung von T&D Agri einzuholen.
5.6.7 Übernahme und Einlagerung. Nach Übernahme der postalisch versendeten oder persönlich angelieferten oder abgeholten Weinflaschen werden die Weine, gegebenenfalls zwischengelagert und an den Lagerort verbracht. Am Lagerort werden die Weine autorisiert, digitalisiert und eingelagert. Sofern die Weine bereits zuvor digitalisiert wurden (gemäß Punkt 4.4.1 durch den Kunden oder durch einen T&D Agri Partner), so werden die Weindaten überprüft und sofern diese übereinstimmen unter Heranziehung dieser Angaben eingelagert. Sofern die postalische Zusendung unter Beilage einer Bestellbestätigung vorangemeldet und/oder unter Beilage eines Lieferscheins geliefert wurde, werden die übernommenen Weinflaschen mit den Posten in der Bestellbestätigung und/oder im Lieferschein abgeglichen. Nach Einlagerung der Weine erhält der Kunde von T&D Agri eine Bestätigung und Auflistung der Weine, die eingelagert worden sind bzw. sind diese dann im digitalen Weinkeller hinterlegt.
5.6.8 Gefahrenübergang. Sowohl bei postalischem Versand von Weinflaschen (auch wenn der Versand an T&D Agri unmittelbar durch einen T&D Agri Partner beauftragt wird) an eine Zustelladresse sowie bei persönlicher Ablieferung an einer Abgabeadresse von T&D Agri oder bei Nutzung des T&D Agri Abholservices, geht die Gefahr des Verlusts, der Beschädigung oder des Untergangs der Weinflaschen erst mit der tatsächlichen Übernahme der Weinflaschen zur Einlagerung auf T&D Agri über. Insbesondere der postalische Versand von Weinflaschen an T&D Agri erfolgt daher gegenüber T&D Agri auf eigene Gefahr des Kunden.
5.6.9 Lagergebühr. Wenn der neue Lagerbestand im aktuell aktiven Lagerpaket gedeckt ist, fallen für die Einlagerung der zusätzlichen Weinflaschen am Lagerort unter dem winewallet-Abonnement keine zusätzlichen Kosten an. Falls durch die Einlagerung das Lagerpaket gemäß Punkt 5.3.2 überschritten wird, wird im nächsten Monat das der neuen Kapazität entsprechende Lagerpaket verrechnet.
5.7 Verfügung über Weinflaschen: „verschenken“ und „beschenkt werden“
5.7.1 Übertragen von Weinflaschen über das Portal. Der Verfügungsberechtige kann die in seinem Nutzerkonto hinterlegten und am Lagerort eingelagerten Weinflaschen, jederzeit (unentgeltlich) an einen anderen Kunden, der ebenfalls ein winewallet-Abonnement abgeschlossen hat (der Abschluss nur einer winewallet-Lizenz ermöglicht nicht die Annahme eines Verfügungsrechts durch den Kunden) übertragen („verschenken“), indem er die im Portal integrierte Übertragungs-Funktion nutzt. Dazu muss der Verfügungsberechtige die E-Mail-Adresse des gewünschten Empfängers angeben, der dann eine E-Mail mit Anweisungen erhält, wie er die Übertragung annehmen kann.
5.7.2 Annahme von Weinflaschen über das Portal. Wird einem Kunden, der ebenfalls ein winewallet-Abonnement abgeschlossen hat (der Abschluss nur einer winewallet-Lizenz ermöglicht nicht die Annahme eines Verfügungsrechts durch den jeweiligen Kunden), durch einen Verfügungsberechtigten das Nutzungsrecht an am Lagerort eingelagerten Weinflaschen gemäß Punkt 5.7.1 unentgeltlich übertragen („beschenkt werden“), wird er durch eine E-Mail von T&D Agri mit entsprechenden Anweisungen informiert. Durch Zustimmung zur Übertragung über das Portal nimmt der Kunde das Verfügungsrecht über die übertragenen Weinflaschen an und werden diese sodann seinem Nutzerkonto zugeordnet und im Nutzerkonto des übertragenden Nutzers entfernt. Erfolgt die Zustimmung zur Übertragung nicht binnen 7 Kalendertagen, gilt das Verfügungsrecht als nicht übertragen und sind die Weinflaschen unverändert dem Nutzerkonto des Verfügungsberechtigten zugeordnet.
5.7.3 Folgen einer Übertragung. Im Falle einer solchen unentgeltlichen Übertragung erwirbt der Empfänger das Verfügungsrecht an den übertragenen Weinflaschen, das auf den Empfänger übertragen und an diesen abgetreten wird. Die jeweilige(n) Weinflasche(n) wird (werden) in das Nutzerkonto des Empfängers übertragen und der Empfänger gilt fortan als Verfügungsberechtigter der Weinflasche(n).
5.7.4 Wirksamkeitszeitpunkt. Die Abtretung des Verfügungsrechts an den Empfänger gilt als zum Zeitpunkt der Annahme durch den Empfänger und Übertragung in dessen Nutzerkonto als bewirkt.
5.7.5 Lagergebühr. Falls durch die Annahme des Verfügungsrechts an der (den) übertragenen Weinflasche(n) gemäß Punkt 5.7.2 das Lagerpaket gemäß Punkt 5.3.2 überschritten wird, wird dem Empfänger im nächsten Monat das der neuen Kapazität entsprechende Lagerpaket verrechnet. Dem bisher Verfügungsberechtigten, wird im nächsten Monat das der neuen Kapazität entsprechende Lagerpaket verrechnet, falls durch die Übertragung gemäß Punkt 5.7.1 das Lagerpaket gemäß Punkt 5.3.2 unterschritten wird, es sei denn der Verfügungsberechtigte hat die Mindestkapazität seines winewallet-Abonnements erreicht. Wenn der neue Lagerbestand nach Übertragung gemäß Punkt 5.7.1 bzw. Annahme gemäß Punkt 5.7.2 im aktuell aktiven Lagerpaket gedeckt ist bzw. der bisher Verfügungsberechtigte seine Mindestkapazitäten erreicht hat, hat das „Verschenken“ bzw. „Beschenkt werden“ unter dem winewallet-Abonnement keine zusätzlichen Kosten zur Folge bzw. keine Auswirkung auf die Kosten des winewallet-Abonnements.
5.8 Verfügung über Weinflaschen: „Auslagerung“
5.8.1 Auslagerung. Der Verfügungsberechtigte kann die Auslagerung eingelagerter Weinflaschen über die entsprechende Funktion im Portal beauftragen, dabei steht die postalische Lieferung an eine Wunschadresse sowie die Selbstabholung zur Verfügung.
5.8.2 Auslagerung durch postalische Lieferung der Weinflaschen. Über entsprechende Auswahl des Verfügungsberechtigten, veranlasst T&D Agri die postalische Lieferung der jeweiligen Weinflasche(n) an die vom Verfügungsberechtigten mitgeteilte Lieferadresse innerhalb der im Portal bzw. Nutzerkonto angegebenen Frist, spätestens jedoch vierzehn Tage nach Erhalt des Lieferauftrags. Die Lieferzeiten können variieren und hängen von verschiedenen Umständen ab, wie z.B. dem Bestimmungsort.
5.8.3 Auslagerung durch Selbstabholung. Über entsprechende Auswahl des Verfügungsberechtigten werden diesem im Portal Abholtermine (frühestens am nächsten Werktag) während der Geschäftszeiten von T&D Agri, sohin an Werktagen montags bis donnerstags 09:00 – 16:00 Uhr und freitags 09:00 – 12:00 Uhr, angezeigt. Der Verfügungsberechtigte kann einen entsprechenden Abholtermin wählen und erhält daraufhin eine Bestätigung samt Abholcode, der bei der Abholung vorzuweisen ist. Die Anschrift des jeweiligen Lagerorts, in dem eine abzuholende Weinflasche gelagert ist und zur Abholung bereitgehalten wird, ist im Portal angegeben. Dritten (z.B. vom Kunden selbst beauftragte Beförderer) können Weinflaschen nur ausgehändigt werden, wenn ein ordnungsgemäßer schriftlicher Vertretungsnachweis (Vollmacht) des Kunden durch den Kunden, der die Vollmacht erteilt, vorab (als Kopie oder digitaler Scan) übermittelt und vom Bevollmächtigten (im Original) vorgezeigt wird.
5.8.4 Lieferadresse und Zahlung der Versand- und Lagergebühren und Verbrauchsteuern. Vor endgültiger Erteilung eines Lieferauftrags muss der Nutzer die gewünschte Lieferadresse über das Portal bzw. Nutzerkonto angeben. Das Portal weist dann die für die Lieferung des/der angeforderten Weinflasche an die angegebene Adresse anfallenden Versandkosten, die allenfalls offenen Lagergebühren, sowie die gegebenenfalls anfallenden Verbrauchsteuern (abhängig vom Staat, in dem die Lieferadresse gelegen ist), aus. Um den Lieferauftrag abzuschließen, muss der Nutzer die anfallenden Beträge der Versandkosten, Verbrauchsteuern und etwaiger ausstehender Lagergebühren an T&D Agri bezahlen, wie im Portal jeweils angegeben. T&D Agri beginnt mit der Bearbeitung eines Lieferauftrags erst nach vollständigem Zahlungseingang der entsprechenden Beträge, andernfalls kann eine Lieferung nicht erfolgen. T&D Agri ist nicht verantwortlich für die Vorschreibung etwaiger Gebühren oder Kosten durch Stellen des Bestimmungslandes.
5.8.5 Gefahrenübergang. Sowohl bei Auslagerung durch Selbstabholung als auch bei Auslagerung durch postalischen Versand geht die Gefahr des Verlusts, der Beschädigung oder des Untergangs auf den Verfügungsberechtigten über, sobald die Weinflasche(n) dem Verfügungsberechtigten oder einem vom Verfügungsberechtigten bestimmten Dritten übergeben wurde(n). Beförderer, die von T&D Agri beauftragt werden, gelten nicht als vom Verfügungsberechtigten bestimmte Dritte, Beförderer, die unmittelbar vom Kunden beauftragt werden, gelten als vom Kunden bestimmte Dritte. Wird im Fall der Angabe von Selbstabholung die Abholung der Weinflasche(n) durch den Verfügungsberechtigten bzw. durch einen von ihm selbst beauftragten Beförderer nicht bis zum vereinbarten Termin veranlasst, trägt der Nutzungsberechtigte ab diesem Zeitpunkt die Gefahr für den zufälligen Untergang der Weinflasche(n); weiters wird T&D Agri wahlweise eine Nachfrist zur Abholung setzen oder den Auftrag zur Auslagerung stornieren.
5.8.6 Prüfung der ausgelagerten Weinflaschen. Bei postalischer Lieferung hat der Empfänger die Weinflasche sofort nach Erhalt auf Zustellschäden zu prüfen und diese dem Zusteller und T&D Agri anzuzeigen; sonstige erkennbare Mängel sind unverzüglich, spätestens aber innerhalb von 5 Werktagen nach Erhalt, an T&D Agri zu melden. Bei Selbstabholung ist unmittelbar bei Übernahme eine Überprüfung der übergebenen Weinflasche(n) durchzuführen; allfällige Mängel sind innerhalb von 5 Werktagen nach Abholung an T&D Agri zu melden.
5.8.7 Lagergebühr. Wenn der neue Lagerbestand nach Auslagerung das aktuell aktive laufende Lagerpaket nicht unterschreitet, hat die Auslagerung von Weinen keine Auswirkung auf die Lagergebühr. Falls durch die Auslagerung das Lagerpaket gemäß Punkt 5.3.2 unterschritten wird, wird im nächsten Monat das der neuen Kapazität entsprechende Lagerpaket verrechnet, es sei denn, der Kunde würde jenes Lagerpaket unterschreiten, das er bei Vertragsabschluss ausgewählt hat. Im Letzteren Fall würde dem Kunden das bei Vertragsabschluss ausgewählte Lagerpaket verrechnet werden, da diese Kapazitäten für ihn reserviert sind.
6 Right of withdrawal for consumers
6.1 Consumer right of withdrawal. If the customer is a consumer in accordance with the provisions of the Consumer Protection Act ("KSchG"), he may cancel the winewallet and/or the winewallet within fourteen days without stating reasons in accordance with § 11 FAGG. The revocation period is fourteen days from the date of conclusion of the contract. If the winewallet was concluded as part of a winewallet, the revocation of the winewallet shall in case of doubt also be deemed to be a revocation of the winewallet, unless the customer expressly declares otherwise.
6.2 Exercising the right of revocation. In order to exercise the right of revocation, the customer must inform T&D Agri GmbH, Wiener Straße 64, 3100 St. Pölten, e-mail:winewallet and telephone number: +43 (0) 5 0259 21130by means of a clear declaration (e.g. letter sent by post or e-mail) of the decision to revoke the winewallet and/or the winewallet. The attached sample revocation form can be used for this purpose, but the use of the attached sample revocation form is not mandatory. In order to comply with the revocation period, it is sufficient for the customer to send the notification of the exercise of the right of revocation before the expiry of the revocation period.
6.3 Consequences of revocation. If the winewallet and/or the winewallet winewallet is revoked, T&D Agri must refund the payments received immediately and at the latest within fourteen days of the day on which T&D Agri receives notification of the revocation of the winewallet and/or the winewallet. For this repayment, T&D Agri shall use a bank transfer to the bank details provided by the User or, in the case of original payment by means of a voucher, a corresponding credit note. Under no circumstances will fees be charged for this repayment.
6.4 Refusal of repayment. If a winewallet is canceled, T&D Agri may refuse repayment until the customer's wine bottles have been completely removed from storage.
6.5 Obligation to remove from storage. The customer must remove the wine bottles from storage immediately and in any case no later than fourteen days from the date on which T&D Agri is informed of the revocation of the winewallet subscription by collecting them themselves in accordance with point 5.8.3 or by sending them by post in accordance with point 5.8.2.
6.6 Costs to be borne by the Customer. The customer shall bear the direct costs of removing the wine bottles from storage (e.g. shipping costs for removal by post in accordance with point 5.8.2, travel costs for removal by self-collection in accordance with point 5.8.3).
6.7 If the Customer has requested that the first storage of at least one wine bottle or the activation of the winewallet be carried out before the expiry of the fourteen-day withdrawal period, the Customer shall pay T&D Agri a reasonable amount corresponding to the proportion of the services already provided up to the time at which T&D Agri was informed of the exercise of the right of withdrawal with regard to the winewallet and/or the winewallet compared to the total scope of the services provided for in the winewallet and/or the winewallet. the winewallet."
Example: If at least one of the customer's wine bottles has been stored by T&D Agri, e.g. for 7 days, an aliquot storage fee of EUR 24.24 is payable for a storage package with a storage fee of EUR 103.89 or an aliquot storage fee of EUR 3.49 for a storage package with a storage fee of EUR 14.94. If at least one of the Customer's wine bottles has been stored by T&D Agri, e.g. for 30 days (in the absence of removal from storage by the Customer pursuant to Section 6.5), an "aliquot" storage fee of EUR 103.89 shall be payable for a storage package with a storage fee of EUR 103.89 or an "aliquot" storage fee of EUR 14.94 for a storage package with a storage fee of EUR 14.94.
7 Versicherung, Haftung und höhere Gewalt
7.1 Versicherung für den Abholservice. Bei Einlagerung durch Nutzung des Abholservice gemäß Punkt 5.6.4 ist die Lieferung zum Wiederbeschaffungswert der Weine versichert.
7.2 Versicherung für eingelagerte Weine. Die am Lagerort von T&D Agri eingelagerten Weinflaschen sind durch eine Versicherung zum Wiederbeschaffungswert versichert.
7.3 Versicherung für Sach- und Personenschäden. Für Schäden, die dem Kunden durch schuldhaftes Verhalten der T&D Agri oder einer T&D Agri gemäß §§ 1313a oder 1315 ABGB zurechenbaren Person, insbesondere dem Lagerunternehmer und dessen Mitarbeiter, verursacht werden, besteht eine Haftpflichtversicherung mit Deckungssumme von min. EUR 10.000 für Sachschäden und Deckung von min. EUR 10.000 für Personenschäden.
7.4 Versicherung für postalische Auslagerungen. Bei postalischer Auslagerung der Weinflaschen von dem Lagerort von T&D Agri gemäß Punkt 5.8.2 an eine Wunschadresse ist das Paket und sohin die darin enthaltenen Weinflaschen standardmäßig bis zu einem Wert von EUR 500 pro Paket versichert. Höhere Versicherungen sind als optionale Nebenleistung gegen eine für den jeweiligen Versand anfallende zusätzliche Gebühr möglich und müssen im Rahmen des Auslagerungsauftrags vereinbart werden.
7.5 Gefahrentragung. Die Gefahr des Verlusts, der Beschädigung oder des Untergangs von Weinflaschen geht erst mit tatsächlicher Übernahme der Weinflaschen durch T&D Agri auf T&D Agri über, sodass bei Einlagerung durch den Abholservice gemäß Punkt 5.6.4 die Gefahr bereits mit der Übergabe der Weinflaschen an T&D Agri übergeht. Während der Einlagerung durch postalischen Versand gemäß Punkt 5.6.3 trägt der Kunde (gegenüber T&D Agri) selbst die Gefahr des Verlusts, der Beschädigung oder des Untergangs von Weinflaschen (siehe Punkt 5.6.8). Die Gefahr des Verlusts, der Beschädigung oder des Untergangs von Weinflaschen geht sofort mit der Übergabe an den Verfügungsberechtigten oder einen vom Verfügungsberechtigten bestimmten Dritten an den Verfügungsberechtigten über, während der postalischen Auslagerung gemäß Punkt 5.8.2 trägt daher gegenüber dem Kunden T&D Agri die Gefahr des Verlusts, der Beschädigung oder des Untergangs von Weinflaschen (siehe Punkt 5.8.5). Befindet sich der Kunde im Rahmen der Auslagerung jedoch im Annahmeverzug, dann geht bereits ab dem Zeitpunkt des verpassten Abholtermins die Gefahr des Verlusts, der Beschädigung oder des Untergangs der Weinflasche(n) an den Verfügungsberechtigen über (siehe Punkt 5.8.5).
7.6 Haftungsbeschränkung gegenüber Verbrauchern. Entsteht dem Kunden durch schuldhaftes Verhalten der T&D Agri oder einer T&D Agri gemäß §§ 1313a oder 1315 ABGB zurechenbaren Person im Zusammenhang mit dem winewallet-Abonnement ein Schaden, der nicht die eingelagerten Weinschlafen an sich betrifft und bei dem es sich nicht um einen Personenschaden handelt, so ist die Haftung von T&D Agri im Fall der leichten Fahrlässigkeit auf die Versicherungssumme der Versicherung
i. gemäß Punkt 7.1 im Zusammenhang mit dem Abholservice gemäß Punkt 5.6.4.
ii. gemäß Punkt 7.3 im Zusammenhang mit dem Zutritt zum Lagerort gemäß Punkt 5.4.3, 5.4.4, und 5.4.5., der Einlagerung durch persönliches Abliefern gemäß Punkt 5.6.2 und der Auslagerung durch Selbstabholung gemäß Punkt 5.8.3.
iii. gemäß Punkt 7.4 im Zusammenhang mit der postalischen Auslagerung gemäß Punkt 5.8.2.
7.7 Haftungsbeschränkung gegenüber Unternehmern. Gegenüber Kunden, die Unternehmer sind, ist die Haftung von T&D Agri beschränkt auf Fälle von Vorsatz oder grober Fahrlässigkeit. Der Gesamtbetrag der Haftung von T&D Agri bei grober Fahrlässigkeit ist jedoch
7.7.1 betreffend das winewallet-Abonnement beschränkt mit der Höhe der Versicherungssumme der Versicherung
i. gemäß Punkt 7.1 im Zusammenhang mit dem Abholservice gemäß Punkt 5.6.4.
ii. gemäß Punkt 7.2 im Zusammenhang mit den eingelagerten Weinflaschen.
iii. gemäß Punkt 7.3 im Zusammenhang mit dem Zutritt zum Lagerort gemäß Punkt 5.4.3, 5.4.4, und 5.4.5., der Einlagerung durch persönliches Abliefern gemäß Punkt 5.6.2 und der Auslagerung durch Selbstabholung gemäß Punkt 5.8.3.
iv. gemäß Punkt 7.4 im Zusammenhang mit der postalischen Auslagerung gemäß Punkt 5.8.2.
7.7.2 betreffend die winewallet-Lizenz beschränkt auf den Maximalbetrag von EUR 100.000 .
7.8 Haftungsausschluss gegenüber Unternehmern. Gegenüber Kunden, die Unternehmer sind, ist die Haftung von T&D Agri für leichte Fahrlässigkeit sowie für Mangelfolgeschäden, bloße Vermögensschäden, mittelbare Schäden, indirekte Verluste, entgangenen Gewinn, Produktionsausfälle, Finanzierungskosten, Verlust von Daten oder Informationen, nicht erzielte Einsparungen, Zinsverluste und Schäden aus Ansprüchen Dritter ausgeschlossen. Dieser Ausschluss bezieht sich nicht auf Schäden an Personen, Gesundheit oder körperlicher Unversehrtheit.
7.9 Keine Haftung bei höherer Gewalt. T&D Agri haftet den Kunden im Zusammenhang mit dem winewallet-Abonnement gegenüber grundsätzlich nur für den aus der Unterlassung der pflichtmäßigen Lagerung bzw. Obsorge verursachten Schaden, aber nicht für Schäden, die durch Zufall oder aus der neutralen Sphäre heraus entstehen. Auch im Zusammenhang mit der winewallet-Lizenz haftet T&D Agri nicht für Schäden, die durch Zufall oder aus der neutralen Sphäre heraus entstehen. Ausgeschlossen ist sohin die Haftung von T&D Agri infolge von Umständen, die weder T&D Agri noch der Kunde bzw. diesen jeweils gemäß §§ 1313a ABGB oder 1315 ABGB zurechenbare Personen zu vertreten haben. T&D Agri hat den Kunden über solche Umstände unverzüglich zu unterrichten. Dazu genügt ein entsprechender Hinweis auf dem Portal.
Beispiel: Kommt es in Folge von Elementarereignissen, kriegerischen Akten, inneren Unruhen, unvorhersehbaren Betriebsstörungen, behördlichen Eingriffen, Arbeitskämpfen oder sonstigen Fällen von höherer Gewalt oder des Zufalls zu Beschädigungen oder Verlust der Weinflaschen oder zu sonstigen Schäden, zu sonstigen Verzögerungen oder Verhinderungen der Ausführung des winewallet-Abonnements oder der winewallet-Lizenz ist die Haftung von T&D Agri gegenüber dem Kunden oder Dritten ausgeschlossen.
7.10 Keine Kenntnis über Qualität der Weine. Der Kunde nimmt weiter zur Kenntnis, dass T&D Agri bis auf das äußere Erscheinungsbild der Weinflaschen keine Kenntnis über die tatsächliche Qualität der Weine zum Zeitpunkt der Übernahme der Weinflaschen hat und auch ohne Öffnung der Weine, keine Möglichkeit hat, die Qualität der Weine zu überprüfen. Von der sach- und fachgerechten Einlagerung ausdrücklich nicht umfasst ist daher die Überprüfung und Verbesserung der Qualität der eingelagerten Weine. Auch im Zuge der sach- und fachgerechten Einlagerung kann es daher dazu kommen, dass sich eingelagerte Weine in deren Qualität, nicht wie vom Kunden gegebenenfalls gehofft, entwickeln und reifen. Auch kann es sein, dass bereits zum Zeitpunkt der Einlagerung die Qualität des Weins mängelbehaftet ist und sich über den Verlauf der Einlagerung die Qualität des Weins (weiter) verschlechtert.
7.11 Zwischenlagerung zu bestmöglichen jedoch nicht optimalen Bedingungen. Der Kunde nimmt weiter zur Kenntnis, dass es im Rahmen der Einlagerung von Weinflaschen dazu kommen kann, dass Weinflaschen bis zur tatsächlichen Einlagerung am Lagerort, wo sie durch T&D Agri bzw. von dem durch T&D Agri beauftragten Lagerunternehmer sach- und fachgerecht eingelagert werden, an einem Lagerort zwischengelagert werden, wo keine optimalen Lagerbedingungen herrschen. T&D Agri wird ab Übernahme der Weinflaschen (z.B. nach Übernahme vom Versanddienstleister, nach Abgabe an der Abgabeadresse oder nach Übernahme im Rahmen des Abholservice) dafür sorgen, dass die Weinflaschen bis zur Einlagerung am Lagerort zu bestmöglichen Bedingungen zwischengelagert werden. Von der sach- und fachgerechten Einlagerung ausdrücklich nicht umfasst ist daher die Zwischenlagerung der Weinflaschen zu optimalen Lagerbedingungen.
7.12 Keine Kenntnis über Lagerbedingungen während dem Transport. Der Kunde nimmt zur Kenntnis, dass T&D Agri keine Kenntnis über die Lagerbedingungen der Weinflaschen durch Versanddienstleister, den Kunden, vom Kunden sonstige beauftragte Dritten oder T&D Agri Partner hat. Von der sach- und fachgerechten Einlagerung ausdrücklich nicht umfasst ist daher die Schaffung von optimalen Lagerbedingungen während des Transports der Weinflaschen durch Versanddienstleister, den Kunden, einen sonstigen Dritten oder einen T&D Agri Partner bis zur Übernahme durch T&D Agri (bei Einlagerung) bzw. bis zur Übernahme durch den Kunden oder durch einen vom Kunden bestimmten Dritten (bei Auslagerung).
8 Data protection
8.1 Data processing for contract fulfillment. The personal data provided by users in the context of the business relationship with T&D Agri, such as name, date of birth, address, e-mail, telephone number and postal address, user account data and vouchers as well as data of users or third parties, in particular those authorized by the customer for access in accordance with point 5.4.5, for personal delivery in accordance with point 5.6.2, for personal delivery to the collection service in accordance with point 5.6.4 or for self-collection in accordance with point 5.8.3, to whom the right of disposal of wine bottles is transferred pursuant to clause 5.7.1, or to whom wine bottles are to be sent by postal delivery pursuant to clause 5.8.2, including an accompanying message, shall be stored and processed by T&D Agri for the purpose of fulfilling, managing, making available and exercising the contractual relationship with a User, performing winewallet and operating the Portal and managing the wine bottles.
8.2 Data processing for marketing purposes. By activating the corresponding selection field in the registration process or in the user profile on the portal, the user expressly agrees that the personal data provided on the portal (name, address, e-mail, telephone number and postal address) may be stored and processed by T&D Agri for marketing purposes and in particular for sending advertising messages by SMS and e-mail in accordance with Section 174 of the Telecommunications Act 2021 (TKG 2021). Consent can be revoked at any time via the portal or by e-mail.
9 Place of jurisdiction, applicable law and language
9.1 Applicable law. Austrian substantive law shall apply to the exclusion of its conflict of law rules and the UN Convention on Contracts for the International Sale of Goods. For customers who are consumers and do not have their habitual residence in Austria, the mandatory provisions of the law of the country in which they have their habitual residence shall continue to apply despite this choice of law.
9.2 Place of jurisdiction. For any disputes arising from or in connection with these GTC, the winewallet and/or the winewallet, the competent court at the registered office of T&D Agri shall have exclusive jurisdiction over persons who are entrepreneurs.
9.3 Language. The language of the Portal and of communication with T&D Agri is English or German. The contractual language is German.
10 Miscellaneous
10.1 Severability clause. The invalidity of individual provisions of these GTC shall not affect the validity of the remaining provisions. Should a provision be or become invalid or unenforceable, the contracting parties undertake to replace it with a legally permissible, valid and enforceable provision that comes closest to the economic purpose of the provision to be replaced.
10.2 Amendments. All amendments or additions to agreements between T&D Agri and the User must be made in writing; likewise, all subsequent amendments and the waiver of contractual rights must be made in writing.
10.3 Place of performance. The place of performance for all contractual relationships with T&D Agri is the registered office of T&D Agri.
